  • Terms and Conditions for Oil and Gas Services

    These terms and conditions (the "Terms") apply to the provision of oil and gas services (the "Services") by Mesianc Group (the "Company") to its customers (the "Customers"). By requesting or accepting the Services, the Customers agree to be bound by these Terms.

    1. 
    Scope of Services
    The Company will provide the Services as specified in the service order, quotation, proposal, or contract (the "Service Order") issued by the Company and accepted by the Customer. The Service Order will include the description, scope, duration, location, price, and payment terms of the Services. The Service Order may also include any special conditions or requirements applicable to the Services. The Service Order and these Terms constitute the entire agreement between the Company and the Customer for the Services (the "Agreement").
    2. 
    Performance of Services
    The Company will perform the Services with reasonable care and skill, in accordance with applicable industry standards and laws. The Company will use qualified personnel and equipment suitable for the Services. The Company may subcontract any part of the Services to third parties, without affecting its obligations under the Agreement.
    3. 
    Customer's Obligations
    The Customer will cooperate with the Company and provide all necessary information, assistance, access, permits, licenses, consents, approvals, and facilities required for the performance of the Services. The Customer will ensure that its premises, equipment, and personnel comply with all applicable health, safety, environmental, and security regulations and standards. The Customer will indemnify and hold harmless the Company from any claims, damages, liabilities, costs, and expenses arising from or related to the Customer's breach of its obligations under this clause.
    4. 
    Payment
    The Customer will pay the Company for the Services as specified in the Service Order. The Company may issue invoices to the Customer at any time after the completion or partial completion of the Services. The Customer will pay each invoice within 30 days of receipt. The Company may charge interest on any overdue amount at a rate of 1.5% per month or the maximum rate allowed by law, whichever is lower. The Customer will also reimburse the Company for any reasonable expenses incurred by the Company in connection with the Services.
    5. 
    Warranty
    The Company warrants that it has the right and authority to provide the Services and that the Services will be performed in accordance with the Agreement. The Company does not warrant that the Services will achieve any specific results or outcomes or that they will be error-free or uninterrupted. The Company's sole liability and the Customer's exclusive remedy for any breach of warranty is to re-perform the defective Services or refund the fees paid for such Services, at the Company's option.
    6. 
    Limitation of Liability
    The Company's total liability to the Customer for any claims arising from or related to the Agreement or the Services, whether in contract, tort, negligence, breach of statutory duty, or otherwise, will not exceed the fees paid by the Customer for the Services giving rise to such claims. In no event will the Company be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages, such as loss of profits, revenue, data, goodwill, or business opportunity.
    7. 
    Force Majeure
    The Company will not be liable for any delay or failure in performing its obligations under the Agreement if such delay or failure is caused by circumstances beyond its reasonable control, such as war, terrorism, natural disasters, epidemics, strikes, riots, civil unrest, government actions, or breakdowns of equipment or communication systems (a "Force Majeure Event"). The Company will notify the Customer as soon as possible of any Force Majeure Event and resume its performance as soon as practicable after such event ceases.
    8. 
    Termination
    The Agreement may be terminated by either party upon written notice if:

    •  The other party breaches any material term of the Agreement and fails to remedy such breach within 30 days of receiving notice thereof;

    •  The other party becomes insolvent, bankrupt, or subject to any similar proceedings; or

    •  A Force Majeure Event prevents or substantially hinders the performance of either party for more than 60 days.

    Upon termination of the Agreement:

    •  The Customer will pay all outstanding fees and expenses due to the Company;

    •  Each party will return or destroy any confidential information or property belonging to the other party; and

    •  Any clauses that by their nature are intended to survive termination will remain in effect.

    Confidentiality
    Each party will treat as confidential any information received from or relating to the other party that is marked as confidential or that reasonably should be considered as confidential (the "Confidential Information"). Each party will use such Confidential Information only for purposes of performing its obligations under this Agreement and will not disclose it to any third party without prior written consent of the other party. Each party will take all reasonable measures to protect such Confidential Information from unauthorized use or disclosure.
    2. 
    Governing Law and Dispute Resolution
    The Agreement will be governed by and construed in accordance with Nigerian law. Any dispute arising from or related to this Agreement will be submitted to arbitration under Nigerian Arbitration Act 2004 before a single arbitrator appointed by mutual agreement of both parties or failing such agreement within 14 days after either party has given notice of a dispute to other party then appointed at request of either party by President for time being Nigerian Institute Of Chartered Arbitrators . The arbitration award shall be final & binding on both parties & may be enforced in any court having jurisdiction over them.
